(These Terms & Conditions govern your use of the HEEM Consulting website and any content, functionality, or services offered through it. By accessing or using our site, you agree to these Terms. If you do not agree, please do not use our website.)

Welcome to the HEEM Consulting website (the “Site”). The following Terms & Conditions (also referred to as "Terms of Use" or simply "Terms") apply to all visitors, users, and others who access the Site or any materials on it. These Terms form a binding legal agreement between you and HEEM Consulting. Please read them carefully.

By accessing, browsing, or using this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these Terms, you must discontinue use of the Site immediately. HEEM Consulting reserves the right to update or modify these Terms at any time, at our sole discretion. If we make changes, we will post the updated Terms on this page with a new effective date. It is your responsibility to check for updates. Your continued use of the Site after any changes constitutes acceptance of those changes.

1. Use of Our Website and Content
HEEM Consulting grants you a limited, revocable, non-exclusive, non-transferable license to access and use our Site and the materials therein for your personal, informational, and non-commercial use, provided that you comply fully with these Terms & Conditions. All content on the Site – including text, graphics, logos, images, articles, whitepapers, and other materials – is the intellectual property of HEEM Consulting or our licensors and is protected by copyright, trademark, and other laws.

Permitted Use: You may view, download, and print content from the Site solely for legitimate personal or internal business purposes related to learning about HEEM Consulting’s services or engaging with us. For example, you may download a PDF insight report for review within your organization or print a blog article for your own reading. Any copies of content must retain any proprietary notices (such as copyright or trademark notices) as they appear on the Site.

Prohibited Use: You agree not to engage in any of the following activities when using our Site: - No Commercial Exploitation: You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of our Site content without express prior written permission from HEEM Consulting. This means you cannot take our text or graphics and repost them on your own site or publication for profit, nor use our content as part of any marketing, course, or product without permission.

• No Reverse Engineering or Scraping: You may not use any data mining, robots, scraping, or similar data gathering methods to extract data from our Site. You also may not attempt to decompile or reverse-engineer any of the software or code underlying our Site.

• No Frame or Mirror: You may not frame, mirror, or otherwise incorporate any portion of the Site into any other website or service without our prior written authorization.

• No Harmful Behavior: You must not introduce viruses, malware, or any other harmful code to the Site. Additionally, you agree not to use the Site in a manner that could damage, disable, overburden, or impair our servers or networks (e.g., no DDoS attacks, no interfering with other users’ access).

• No Unauthorized Access: You are prohibited from attempting to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site, through hacking, password mining, or any other means. Any attempt to access secure areas of the Site without authorization may result in legal action.

• No Unlawful Content or Activity: You must not use the Site to post or transmit any unlawful, threatening, defamatory, obscene, harassing, or otherwise objectionable content. This includes refraining from uploading content that could be considered offensive, profane, or that violates any third party’s rights (such as intellectual property rights or privacy rights). You also agree not to use the Site to stalk, harass, or harm another individual, or to engage in any fraudulent or illegal activity.

HEEM Consulting reserves the right to monitor your use of the Site for compliance with these Terms. If we determine (in our sole discretion) that you have violated any of these rules, we may terminate or restrict your access to the Site without notice and take appropriate legal action.

2. Intellectual Property Rights
All materials and content on the Site are owned by or licensed to HEEM Consulting and are protected by intellectual property laws. This includes, but is not limited to, the overall look and feel of the website, the HEEM Consulting name and logo, all text, graphics, images, video, and software.

• Trademarks: “HEEM Consulting” and our associated logos and taglines are trademarks/service marks owned by us. You are not permitted to use our marks in any way (such as in metatags, advertising, or promotional materials) without our prior written consent. All other trademarks on the Site that are not owned by us are the property of their respective owners and are used with permission or under fair use. Nothing on the Site or in these Terms grants you any license or right to use any trademark displayed on the Site.

• Copyright: The content of our Site, including compilations of information and the organization and layout of the Site, is protected by U.S. and international copyright laws. You may not reproduce or distribute such content except as allowed under the “Permitted Use” section above. If you wish to use any content from our Site beyond what is allowed by these Terms or by statutory fair use exceptions, you must obtain our explicit written permission. We take copyright infringement seriously; if you believe any content on our Site infringes your copyright, please notify us with details, and we will investigate (in line with the Digital Millennium Copyright Act procedures, if applicable).

• Feedback: If you voluntarily provide us with any feedback, suggestions, or ideas about our Site or services (“Feedback”), you acknowledge that such Feedback is not confidential and that we are free to use it without any restriction or compensation to you. However, if you encounter a third-party link on our Site that is broken or you believe is pointing to inappropriate content, we welcome you to notify us so we can consider removing or updating it.

HEEM Consulting disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties that may arise from course of dealing or course of performance.

We make no warranty that the Site will meet your requirements or expectations, or that access to the Site will be uninterrupted, timely, secure, or error-free.

We also do not warrant that the information on the Site is complete, correct, or up-to-date, though we endeavor to correct errors when found.

Technical Disclaimers: HEEM Consulting does not guarantee that the Site will be free from viruses, malware, or other harmful components, though we take reasonable measures to secure the Site. 5. Limitation of Liability
To the fullest extent permitted by applicable law, HEEM Consulting and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of (or inability to use) the Site or its content. This includes, without limitation, any loss of profits, loss of data, business interruption, or other commercial damages or losses, even if we have been advised of the possibility of such damages.

Our total cumulative liability for any direct damages or claims arising from the use of the Site (or related to these Terms) shall not exceed US$100 or the amount you have paid to us in the past six months for any services related to the Site, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Important: You agree that any claim or cause of action arising out of or related to your use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred. This limitation is intended to encourage timely resolution of any disputes.

6. Indemnification
You agree to indemnify, defend, and hold harmless HEEM Consulting and its principals, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with: (a) your access to or use of the Site or any content; (b) your violation of these Terms & Conditions; or (c) your infringement of any intellectual property or other rights of HEEM Consulting or any third party. This means if a third party sues us because of something you did in violation of these Terms (for example, you posted defamatory content using our Site or you misused someone’s intellectual property via our Site), you will be responsible for any costs or damages we incur as a result. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claim.

7. Governing Law and Jurisdiction
These Terms & Conditions and any disputes arising under or related to them (and/or your use of the Site) will be governed by the laws of the State of Connecticut, USA, without regard to its conflict of law principles. We choose Connecticut law because our headquarters is based in Connecticut and we primarily operate under U.S. law.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Hartford County, Connecticut, and each party consents to the jurisdiction of such courts and waives any objection to venue or inconvenient forum. However, HEEM Consulting retains the right to seek injunctive or equitable relief in any jurisdiction to prevent or stop a breach of intellectual property or confidentiality obligations.

If you access the Site from outside the United States, you are responsible for compliance with your local laws, to the extent they apply. We make no representation that the content of the Site is appropriate or available for use in other locations.

8. Severability
If any provision of these Terms & Conditions is found to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be deemed severable from the Terms and shall not affect the validity and enforceability of any remaining provisions. The remaining provisions will remain in full force and effect. If a provision is found invalid, the parties agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions shall remain in full force.

9. Waiver
No waiver by HEEM Consulting of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to assert a right or provision under these Terms shall not constitute a waiver of that right or provision.

10. Entire Agreement
These Terms & Conditions, together with our Privacy Policy and any other legal notices or terms expressly incorporated herein, constitute the entire agreement between you and HEEM Consulting regarding your use of the Site, and supersede any prior or contemporaneous understandings and agreements, whether written or oral, regarding the same subject matter. You may not assign these Terms (by operation of law or otherwise) without our prior written consent.

11. Termination
HEEM Consulting reserves the right, without notice and at our sole discretion, to suspend or terminate your permission to use the Site, and to block or prevent future access to and use of the Site if we determine that you have violated any of these Terms or applicable law. We also reserve the right to remove the Site or any content from public view at any time, in our discretion. The provisions of these Terms that by their nature should survive termination (such as intellectual property rights, disclaimers, limitations of liability, and indemnification) shall survive any expiration or termination of these Terms.
